These terms establish the legal framework for using the Torusswap platform, a B2B portal intended for the purchase, sale, or exchange of industrial equipment, machinery, and surplus materials between companies in Romania.

"Platform" means the website accessible at the domain torusswap.com and all associated functionalities: product catalog, company verification system, and direct communication interface. "User" is any legal entity registered on the platform. "Listing" represents the offer for sale, purchase, or exchange published by a user.

To use the platform, each company must create an account and provide complete and accurate data: name, unique registration code, registered office, and contact details. Torusswap verifies the information through available public registers.

The user is responsible for updating their data and maintaining the confidentiality of their password. Any activity carried out under their account is attributable to them. Torusswap reserves the right to suspend or deactivate accounts that provide false or incomplete information.

Users may publish listings for industrial equipment, machinery, and surplus materials. Each listing must include an accurate description, relevant technical specifications, the equipment's condition, and the price or exchange conditions. Attached photos and documents must reflect reality.

The user who publishes a listing is solely responsible for the accuracy and legality of the content. Torusswap does not guarantee the veracity of the information in the listings and is not liable for any discrepancies between the description and the actual condition of the equipment. The platform may remove listings that violate the law or these terms.

The platform provides a direct communication interface between users for negotiating the terms of each transaction. Torusswap does not intervene in the negotiation process and is not a party to contracts concluded between users.

The conclusion of a transaction is carried out exclusively between the parties, based on their mutual agreement. Torusswap does not offer payment, guarantee, or delivery services. Users are advised to draft written contracts and request supporting documents for each transaction.

Users have the right to access the product catalog, communicate with other users, and publish compliant listings. They also have the obligation to comply with current Romanian legislation, not to transmit illegal, offensive, or misleading content, and not to attempt to compromise the platform's security.

Using the platform for unfair competition activities, spam, or unauthorized collection of other users' personal data is prohibited. Violation of these obligations may lead to the immediate suspension of the account.

Torusswap acts solely as a technical intermediary and is not responsible for the quality, safety, or conformity of the equipment listed on the platform. The platform provides no warranty, express or implied, regarding the functionality or suitability of the machinery for a particular purpose.

Under no circumstances shall Torusswap be held liable for direct, indirect, incidental, or consequential damages arising from the use of the platform or transactions concluded between users. Torusswap's total liability towards a user is limited to the value of the subscription paid by that user in the last 12 months.

The processing of personal data is carried out in accordance with Regulation (EU) 2016/679 (GDPR) and applicable Romanian legislation. Data provided by users is used exclusively for the operation of the platform and for service-related communications.

Torusswap does not disclose personal data to third parties without the user's consent, except in cases provided by law. Each user has the right to request access to, rectification, or deletion of their data by contacting the team at info@torusswap.com.

These terms come into effect upon user registration and remain valid for the entire duration of platform use. Torusswap may unilaterally modify the terms, notifying users at least 14 days in advance via email or a notice on the site.

The user may cancel their account at any time by written request to info@torusswap.com. Torusswap may suspend or terminate a user's access in case of a serious breach of the terms, without prior notice. Upon termination, active listings will be removed, and personal data will be deleted in accordance with the privacy policy.

These terms are governed by Romanian law. Any dispute that cannot be resolved amicably shall be settled by the competent courts of Cluj-Napoca municipality.
